2. INTELLECTUAL PROPERTY & USAGE

All content hosted on this platform, including but not limited to logos, visual designs, trademarked assets, and proprietary strategy documents, remains the exclusive property of Flex Creatives Group.

• Ownership: All creative concepts developed by Flex Creatives Group are protected under the **Kenyan Copyright Act (Cap. 130)**.
• License: We grant you a limited, non-exclusive, non-transferable license to access the site for personal and non-commercial use.
• Restrictions: Unauthorized reproduction, distribution, or commercial exploitation of these materials without explicit written consent is strictly prohibited and subject to legal action.

3. USER CONDUCT & PROHIBITED ACTS

Users of our services agree not to engage in any activity that:

• Violates any local, national, or international law, specifically the **Computer Misuse and Cybercrimes Act 2018 (Kenya)**.
• Infringes on the intellectual property rights of Flex Creatives Group or its talent partners.
• Involves the submission of false, misleading, or fraudulent information during talent application or brand partnership requests.
• Attempts to gain unauthorized access to our digital infrastructure.

4. TALENT REPRESENTATION & SUBMISSIONS

By submitting your portfolio or creative assets to Flex Creatives Group:

• You warrant that you own the rights to all submitted material.
• You grant Flex Creatives Group a non-exclusive right to review and showcase your material for internal evaluation purposes.
• Official representation is only established upon the execution of a separate, formal **Talent Representation Agreement**.

5. LIMITATION OF LIABILITY

Flex Creatives Group shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services, attendance at experiential events (including those at the Sarakasi Dome), or reliance on information provided through our digital channels. To the maximum extent permitted by the **Law of Torts (Kenya)**, our liability is limited to the extent of the service provided.

6. TERMINATION

We reserve the right to terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination.

7. GOVERNING LAW & DISPUTE RESOLUTION

These terms shall be governed by and construed in accordance with the **Laws of the Republic of Kenya**. Any disputes arising from these terms shall first be attempted to be resolved through **Alternative Dispute Resolution (ADR)** mechanisms as encouraged by the Constitution of Kenya 2010. If unresolved, they shall be subject to the exclusive jurisdiction of the Kenyan courts in Nairobi.
